1. Introduction and Acceptance
Welcome to the website of Benelinx, LLC (“Benelinx,” “we,” “us,” or “our”), located at www.benelinx.com (the “Site”). These Terms of Use (“Site Terms”) are a legal agreement between you (“you” or “your”) and Benelinx governing your access to and use of the Site.
By accessing or using the Site, you confirm that you have read, understood, and agree to be bound by these Site Terms and our Privacy Policy, which is incorporated into these Site Terms by reference. If you do not agree to these Site Terms, you should not use the Site.
If you are accessing or using the Site on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Site Terms, and “you” refers to both you individually and that entity.
2. About the Site
The Site is an informational and promotional website for Benelinx’s Salesforce-based Employee Benefits Agency Management System. The Site allows you to learn about our products and services, access educational resources, schedule product demonstrations, submit inquiries through contact forms, and browse our publicly available Knowledge Base.
The Site is not a platform for purchasing, subscribing to, or directly accessing the Benelinx software. Access to the Benelinx software platform is governed by a separate subscription agreement between Benelinx and its customers.
3. Eligibility
You must be at least 18 years of age to use the Site. By using the Site, you represent and warrant that you meet this age requirement and that your use of the Site complies with all applicable laws and regulations.
4. Changes to These Site Terms
We may update these Site Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. Your continued use of the Site after any changes take effect means you accept the revised Site Terms. We encourage you to review these Site Terms periodically.
Any dispute arising under these Site Terms will be resolved under the version of the Site Terms that was in effect when the dispute arose.

We reserve the right to modify, suspend, or discontinue any part of the Site at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuance.

Subject to these Site Terms, Benelinx grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purposes: learning about our products and services, reviewing Knowledge Base content, scheduling demonstrations, and contacting us. No other use of the Site is authorized.
7. Restrictions on Use
You agree not to, and will not permit anyone else to:
(a) Copy, modify, distribute, sell, or resell any content or materials available on the Site (“Site Content”), or compile Site Content into a database or other collection;
(b) Use any automated tool, bot, spider, scraper, or similar technology to access, monitor, or copy any part of the Site or Site Content;
(c) Rent, lease, sublicense, or transfer your access to the Site to any other person;
(d) Use the Site or Site Content for any commercial purpose other than evaluating Benelinx’s products and services;
(e) Circumvent, disable, or interfere with any security features of the Site;
(f) Reverse engineer, decompile, disassemble, or create derivative works based on the Site;
(g) Use the Site in any manner that threatens the integrity, performance, or availability of the Site, including introducing viruses, malware, or other harmful code;
(h) Remove, alter, or obscure any proprietary notices, including copyright or trademark notices, on any portion of the Site or Site Content;
(i) Use the Site in any way that violates any applicable law or regulation; or
(j) Use the Site in any manner that could damage, disparage, or otherwise harm the reputation or goodwill of Benelinx.

The Site, all Site Content, and all trademarks, logos, service marks, trade names, and other branding displayed on the Site (collectively, “Marks”) are owned by Benelinx or its licensors and are protected by United States and international intellectual property laws. The Benelinx name, logo, and the tagline “Brilliantly Bundled” are trademarks of Benelinx, LLC.
Except as expressly authorized in these Site Terms, you may not use, reproduce, modify, or distribute any Site Content or Marks without our prior written consent.
9. Knowledge Base and Downloadable Content
Benelinx makes certain educational and informational content available through the Knowledge Base section of the Site and as downloadable materials (such as brochures and media kits). This content is provided for your personal, non-commercial informational use only. You may view and download a reasonable number of copies of these materials for your own use in evaluating Benelinx’s products and services, provided you keep all copyright and proprietary notices intact.
You may not republish, redistribute, sell, or otherwise make this content available to others in any format without our prior written consent.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY SITE CONTENT, INCLUDING KNOWLEDGE BASE ARTICLES AND DOWNLOADABLE MATERIALS.

IN NO EVENT WILL BENELINX’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00).
BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

16. Indemnification
You agree to indemnify, defend, and hold harmless Benelinx, its officers, managers, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Site Terms; (c) your violation of any rights of a third party; or (d) any breach of your representations or warranties in these Site Terms.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
In plain terms: If your use of the Site causes a legal problem for us, you agree to cover our costs and help us resolve it.
17. Governing Law and Jurisdiction
These Site Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law principles.
Any legal action or proceeding arising out of or related to these Site Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Boulder County, Colorado. You irrevocably consent to the personal jurisdiction and venue of such courts.
18. Dispute Resolution
Before filing any formal legal action, you agree to first contact Benelinx at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days. If we cannot resolve the dispute informally, either party may proceed with legal action in accordance with Section 17.
19. No Professional Advice
Nothing on the Site constitutes legal, financial, insurance, tax, or other professional advice. The Site Content, including Knowledge Base articles, is provided for general informational purposes only. You should consult qualified professionals before making decisions based on information found on the Site.
20. General Provisions
Entire Agreement. These Site Terms, together with our Privacy Policy, constitute the entire agreement between you and Benelinx regarding your use of the Site. These Site Terms do not modify or replace any separate subscription agreement, master services agreement, or other contract you may have with Benelinx for our software products.
Severability. If any provision of these Site Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
Waiver. Our failure to enforce any right or provision of these Site Terms will not be considered a waiver of that right or provision. A waiver of any term will only be effective if in writing and signed by Benelinx.
Assignment. You may not assign or transfer these Site Terms or any of your rights under these Site Terms without our prior written consent. Benelinx may assign these Site Terms at any time without notice or consent.
Headings. The section headings in these Site Terms are for convenience only and have no legal effect.
